FINANCIAL CASH ADDENDUM

This Financial Cash Addendum ("Addendum") is made effective as of by and between Client Name: and Counterparty Name: .

RECITALS

WHEREAS, the parties entered into a separate agreement titled dated (the "Agreement"); and

REPRESENTATIONS, WARRANTIES AND COMPLIANCE

4. Each party represents and warrants that: (a) the funds to be delivered pursuant to this Addendum are not derived from illegal activity and are not the subject of any forfeiture, lien, or other encumbrance; (b) it will comply with applicable anti-money laundering and reporting obligations; and (c) it will provide, upon request, documentation reasonably requested to verify the source and legitimacy of funds.

5. The receiving party shall retain and make available for inspection records evidencing the receipt, counting and disposition of cash. Such records shall include, where feasible, denomination breakdowns and serial numbers for currency.

DEFAULT, REMEDIES AND INDEMNITY

6. Default: Failure to deliver or timely acknowledge a scheduled cash payment constitutes a default under this Addendum. The non-defaulting party may pursue all remedies available at law or in equity, including, but not limited to, specific performance and recovery of costs, fees and interest.

7. Indemnity: Each party shall indemnify and hold harmless the other from and against any loss, liability, cost or expense (including reasonable attorneys' fees) arising from a breach of the representations made in this Addendum, including claims relating to unlawful source of funds or failure to comply with applicable laws.

ACCOUNTING, TAXES AND ADJUSTMENTS

8. Accounting: All cash amounts described in this Addendum shall be accounted for in the books and records of the applicable party in accordance with generally accepted accounting principles consistently applied. Any adjustments required following reconciliation shall be made promptly and in writing.

9. Taxes: Each party is responsible for its own tax obligations arising from the transactions contemplated by this Addendum unless otherwise expressly provided in the Agreement or by written agreement of the parties.
