FINANCIAL CASH CONTRACT

This Financial Cash Contract (the Contract) is entered into on the Effective Date: , by and between the parties set forth below.

RECITALS

A. Lender agrees to provide a cash advance (the Funds) to Borrower and Borrower agrees to accept and repay such Funds in accordance with the terms and conditions set forth in this Contract.

B. The parties intend for this Contract to constitute a binding and enforceable obligation, including security and remedies specified below.

TERMS

Maturity Date: . Unless accelerated under Default, Borrower shall repay principal and accrued interest in accordance with the Repayment Schedule below.

The parties may, by written amendment signed by both, modify the payment schedule. Borrower may prepay in whole or in part without penalty unless otherwise specified below.

SECURITY

If collateral is provided, Borrower grants Lender a continuing security interest in the collateral described above and agrees to execute financing statements and other documents necessary to perfect such interest. Borrower represents that the collateral is free of prior liens except as disclosed in writing.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full power and authority to enter into this Contract, that execution and performance do not violate other agreements or law, and that the information furnished to the other party is true and complete. Borrower represents that no bankruptcy or insolvency proceeding is pending or contemplated.

DEFAULT; REMEDIES

Events of Default include failure to pay when due, breach of any covenant or representation, insolvency, appointment of a receiver, or cross-default under other agreements. Upon an Event of Default, Lender may (a) accelerate the entire unpaid principal and accrued interest, (b) exercise any rights under the security documents, and (c) recover costs of collection including reasonable attorney fees and expenses.

PAYMENT AND DELIVERY

Cash delivery, if used, shall be acknowledged by receipt signed by both parties. Accepted payment methods: . Lender or Borrower shall bear bank fees unless otherwise agreed in writing.

NOTICES

All notices required or permitted under this Contract shall be in writing and delivered to the addresses below or to such other address as a party designates by written notice.

TAXES; COSTS

Borrower shall be responsible for all taxes, recording fees, and other governmental charges arising from the transaction. Lender may charge and collect reasonable costs and expenses (including attorney fees) incurred in enforcing this Contract after an Event of Default.

CONFIDENTIALITY; MISCELLANEOUS

The parties shall keep the terms of this Contract and any non-public information confidential, except as required by law or to enforce rights hereunder. This Contract constitutes the entire agreement between the parties and may be amended only by a written instrument signed by both parties. If any provision is held unenforceable, the remainder shall remain in effect.
