FINANCIAL CASH DEAL

This Financial Cash Deal (the Agreement) is entered into as of (Effective Date) by and between the parties identified below.

Representations and Warranties

Seller represents and warrants that Seller is the sole legal and beneficial owner of the Assets free and clear of all liens, encumbrances, security interests, claims and restrictions, except as disclosed in writing to Buyer prior to execution. Seller further warrants that Seller has full authority to sell and transfer the Assets and that such transfer will convey good and marketable title.

Buyer represents that Buyer has the requisite power and authority to enter into this Agreement and to complete the purchase in accordance with its terms.

Closing; Delivery; Risk of Loss

At Closing, Seller shall deliver to Buyer a bill of sale and any other instruments necessary to transfer title, together with physical possession of the Assets, and Buyer shall deliver the Total Cash Due at Closing to Seller by the selected Payment Method. Risk of loss and title shall pass to Buyer upon delivery and acceptance at Closing.

Taxes and Allocation

Unless otherwise agreed in writing, all transfer, sales, use, and documentary taxes, if any, imposed in connection with the transfer of the Assets shall be borne by .

Indemnification

Each party shall indemnify and hold harmless the other party from and against any and all losses, liabilities, claims, damages and expenses (including reasonable attorneys' fees) arising out of any breach of a representation, warranty or covenant contained in this Agreement, except to the extent such losses result from the indemnified party's gross negligence or willful misconduct.

Default; Remedies

If a party materially defaults in the performance of this Agreement, the non-defaulting party may pursue all remedies available at law or in equity, including specific performance where monetary damages are inadequate. The prevailing party in any dispute arising under this Agreement shall be entitled to recover reasonable attorneys' fees and costs.

Notices

All notices under this Agreement shall be in writing and delivered to the other party at the address specified in the Party Information section above by personal delivery, certified mail, or nationally recognized overnight courier and shall be effective upon receipt.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements. Any amendment or waiver must be in writing and signed by both parties. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
