Terms and Conditions

1. Application of Discount. Supplier hereby agrees to apply the cash discount set forth in this Agreement to the invoice(s) listed above provided payment is received by Supplier in accordance with the Discount Terms. The discount applies only to the invoice amounts expressly listed and only where payment is received in accordance with the payment instructions and within the discount period.

2. Conditions and Revocation. Supplier may revoke or adjust the discount prospectively upon written notice if Customer is in default under any invoice or this Agreement, or if Customer's creditworthiness materially deteriorates. Any revocation shall not affect discounts already earned on payments received in full and in cleared funds prior to revocation.

3. Defaults; Remedies. Failure to pay amounts due after application of any agreed discount shall constitute default and entitle Supplier to recover the unpaid balance, accrued interest, late fees as specified above, and costs of collection, including reasonable attorneys' fees. Supplier shall have all other remedies available at law or in equity.

4. Setoff and Credits. Unless otherwise expressly agreed in writing, Customer may not set off or withhold amounts from payment in order to claim additional discounts. Any agreed setoff must be documented and mutually acknowledged in writing by both parties.

5. Taxes. The parties shall determine the treatment of taxes in respect of discounted payments in accordance with applicable law. Customer is responsible for any taxes arising from its payments unless Supplier expressly assumes such obligations in writing.

6. Notices. Notices required by this Agreement must be delivered to the addresses set forth below in the Notice section and are effective only when received.

7. Governing Law; Severability. This Agreement shall be governed by the laws of the state of without regard to conflict of laws principles. If any provision is held invalid, the remaining provisions shall remain enforceable.

8. Entire Agreement; Amendment. This form constitutes the entire agreement between the parties regarding the cash discount described herein. Any amendment must be in writing and signed by authorized representatives of both parties.
