Parties

This Credit and Collection Agreement (the Agreement) is entered into as of by and between:

Recitals and Purpose

WHEREAS, Lender agrees to extend credit to Borrower and Borrower agrees to obtain credit from Lender on the terms and conditions set forth in this Agreement; and WHEREAS, the parties desire to set forth the credit limit, rates, fees, repayment schedule, security, default events and remedies with respect to such credit accommodations.

Security; Collateral

Borrower shall provide security for the obligations under this Agreement as described below. If Borrower elects that obligations are secured, Borrower shall execute all documents required to perfect Lender's security interest.

Representations, Covenants and Warranties

Borrower represents and warrants that all information provided to Lender is true, correct and complete; Borrower has full corporate power and authority to incur obligations under this Agreement; and transactions contemplated herein are not prohibited by law. Borrower covenants to preserve collateral, maintain insurance, and deliver financial statements upon request.

Events of Default and Remedies

Events of Default include failure to pay principal or interest when due, breach of representations or covenants, insolvency, appointment of a receiver, or cross-default under material agreements. Upon Event of Default, Lender may accelerate obligations, enforce security interests, charge default interest, and exercise any other remedies available at law or equity.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses below by hand delivery, nationally recognized overnight carrier, or certified mail (return receipt requested).

Miscellaneous

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

Amendments and Waivers: No amendment or waiver shall be effective unless executed in writing by the party against whom enforcement is sought. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof.
