The Advisory Firm will treat Client information as confidential and will not disclose it except as required by law or as authorized by the Client. The Firm may retain records relating to this engagement in accordance with its record retention policy.

CONFLICTS, THIRD PARTIES AND LIMITATIONS

The Advisory Firm will disclose any material conflicts of interest known at the date of this letter. The Firm may use third-party service providers; the Firm remains responsible for the selection and supervision of such providers to the extent required by applicable standards.

Except as expressly provided herein, the Advisory Firm's liability for any claim arising from this engagement will be limited to direct damages and capped at the total fees paid by the Client to the Firm for services under this letter during the twelve months preceding the event giving rise to the claim, except where prohibited by law.

TERMINATION

Either party may terminate this engagement upon written notice. Upon termination, fees for services performed to the date of termination will become immediately due and payable.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement is governed by the laws of the jurisdiction identified below. The parties agree to good faith negotiation of any dispute. If unresolved, disputes will be resolved by binding arbitration unless the parties agree otherwise.

MISCELLANEOUS
