Scope of Consent

1. Authorization to Obtain and Use Information. I authorize the Firm, its agents, affiliates and service providers to obtain, verify and use consumer and financial information about me, including but not limited to bank account information, investment holdings, transaction history and credit information, to the extent necessary to provide services, administer accounts, and perform compliance and risk management functions. This authorization includes obtaining information from custodians, banks, broker-dealers, employers, and other third parties.

2. Authorization to Share Information. I consent to the disclosure of my financial and personal information to third parties where such disclosure is reasonably necessary to effect transactions, comply with legal and regulatory obligations, perform portfolio management, custody, clearing, or to facilitate tax reporting and audits. Disclosures will be limited to the minimum information required for the permitted purpose.

3. Trade and Transaction Authority. Subject to any separate account agreements, I authorize the Firm to place orders, execute trades, and instruct custodians on my behalf pursuant to my instructions and the Firm's standard practices. This authorization does not relieve me of responsibility for transactions executed on my behalf or for applicable fees, losses, or tax consequences arising from such transactions.

Electronic Communications and Document Delivery

I consent to receive account statements, trade confirmations, notices, disclosures, reports, tax documents and other communications electronically in accordance with the Firm's electronic delivery procedures. I understand that electronic delivery may be made via email, secure client portal, or other electronic means selected by the Firm.

Payment and ACH Authorization (Optional)

If you elect to authorize debits or credits to your bank account for fees, contributions or distributions, complete the banking information and the authorization below.

ACH Authorization. By selecting the checkbox below I authorize the Firm to initiate debit and/or credit entries to the bank account identified above for amounts owed for fees, margin calls, transfers or other amounts authorized in writing. I agree that this authorization will remain in effect until revoked in writing and that the Firm may rely on this authorization until it reasonably has had time to act on any written revocation.

Data Privacy, Retention, and Sharing

The Firm will maintain records of transactions and communications in accordance with legal and regulatory retention obligations. The Firm will implement commercially reasonable safeguards to protect personal and financial information. The Firm may disclose information where required by law or regulation, to auditors, legal counsel, custodians, clearing agents, or as otherwise permitted by applicable law. The Firm is not responsible for unauthorized access to electronic communications where the client provided contact information that is inaccurate or where the client's systems are compromised.

Fees, Liability and Indemnity

I acknowledge that I am responsible for all fees, commissions, charges and expenses described in the account agreement or disclosures provided by the Firm. The Firm's liability for any claim arising out of or related to the services provided will be limited to direct damages and shall exclude consequential, incidental, punitive or exemplary damages to the fullest extent permitted by law. I agree to indemnify and hold the Firm harmless from any liability, cost or expense (including reasonable attorneys' fees) arising from my breach of this Consent or my failure to provide accurate instructions or information.

Revocation; Term; Governing Law

This consent is effective as of the Effective Date below and will remain in effect until revoked in writing. A revocation will not affect actions taken by the Firm prior to receipt of the written revocation. This Consent shall be governed by and construed in accordance with the laws of the state specified in the account agreement or, if none, the state of the Firm's principal place of business, without regard to conflict of law principles.

Representations and Certification

By signing this document I represent and warrant that: (a) I am of legal age and capacity to enter into this Consent; (b) the information provided is true, accurate and complete; (c) I have the authority to authorize the Firm to obtain, use and share the information described herein for the purposes set forth; and (d) I have read, understand and agree to the terms and conditions of this Consent and any referenced account agreements or disclosures.
