Checking Savings

Confidentiality; Records Access

Each party agrees to maintain the confidentiality of non-public information received from the other party and to use such information solely for purposes of performing under this Agreement. Client authorizes Financial Firm to obtain and review Client financial records and third-party information reasonably necessary to provide the Services. Client represents that Client has authority to provide such authorizations.

Default, Termination, and Remedies

Either party may terminate this Agreement upon thirty (30) days' written notice to the other party. Upon termination, Client shall pay for Services performed and expenses incurred through the termination date. In the event of default, the non-defaulting party may suspend services, accelerate payment obligations, and pursue any remedies available at law or equity. Fees and costs of collection, including reasonable attorneys' fees, shall be recoverable by the prevailing party.

Representations; Limitation of Liability

Each party represents that it has the authority to enter this Agreement. Financial Firm will perform services in a professional manner but does not guarantee specific investment or financial results unless expressly stated in writing. EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, THE AGGREGATE LIABILITY OF FINANCIAL FIRM FOR ANY CLAIMS ARISING UNDER THIS AGREEMENT SHALL BE LIMITED TO THE TOTAL FEES PAID BY CLIENT TO FINANCIAL FIRM UNDER THIS AGREEMENT DURING THE TWELVE MONTHS PRECEDING THE CLAIM.

Indemnification and Insurance

Client shall indemnify, defend and hold Financial Firm harmless from and against any third-party claims arising from Client's breach of this Agreement, willful misconduct, or negligent misrepresentations. Financial Firm shall maintain professional liability insurance in commercially reasonable amounts.

Dispute Resolution; Governing Law

Parties shall attempt in good faith to resolve disputes by negotiation. If unresolved, disputes will be submitted to binding arbitration unless the parties mutually agree otherwise. Governing law shall be the laws of the state identified below.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate in writing.
