Late Payment: The Client acknowledges that any undisputed invoice not paid within the stated payment terms shall bear a late charge of on the outstanding balance until paid.

Client will reimburse the Financial Firm for out-of-pocket expenses incurred in connection with providing services, including but not limited to filing fees, third-party vendor fees, travel, and research charges. Expenses in excess of require prior written authorization.

Client must notify the Financial Firm in writing of any billing dispute within thirty (30) days of receipt of the invoice. The Financial Firm will maintain accurate records supporting all fees and expenses and will provide copies to the Client upon reasonable request.

This Agreement shall commence on the Effective Date and remain in effect until terminated by either party upon days' written notice. Upon termination, the Client shall pay all fees and reimbursable expenses incurred through the effective date of termination.

Confidentiality

Each party shall maintain the confidentiality of nonpublic information received from the other party and shall not disclose such information except as required by law or as necessary to perform the services contemplated by this Agreement.

Conflicts, Compliance and Anti-Money Laundering

The Financial Firm represents that it will comply with applicable laws, rules, and regulations, including anti-money laundering and know-your-client obligations. The Client agrees to provide information and documentation reasonably requested to satisfy such requirements.

Limitation of Liability and Indemnification

To the maximum extent permitted by law, the Financial Firm's liability for any claim arising out of or related to this Agreement shall not exceed the fees paid by the Client to the Financial Firm for the services that gave rise to the claim. Client agrees to indemnify and hold the Financial Firm harmless from claims arising from Client's breach of this Agreement or from Client's misuse of advice or materials provided.

Electronic Communications and Records

The Client consents to receive invoices, statements and communications electronically unless otherwise requested in writing. The Client authorizes the Financial Firm to deliver notices and documents by email to the address provided above.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state of without regard to conflicts of law principles. Disputes arising under this Agreement will be resolved by as agreed by the parties.

Entire Agreement and Amendments
