The Firm shall provide financial advisory and client services as set forth below, subject to the terms and conditions of this Agreement.

Fees, Billing and Expenses

Client agrees to compensate the Firm according to one of the fee arrangements selected below. The Firm will invoice according to the billing frequency selected and Client shall pay invoices in accordance with the Payment Terms section.

Term, Termination and Suspension

Term: This Agreement will commence on the Effective Date and continue until terminated as provided below. Either party may terminate this Agreement upon days' written notice to the other party. The Firm may suspend services immediately upon failure of Client to pay undisputed fees or if continued performance would violate law or regulation.

Confidentiality and Data Protection

Each party shall maintain the confidentiality of non-public information received from the other party and shall not disclose such information except as required by law or with prior written consent. The Firm will implement reasonable administrative, physical, and technical safeguards to protect Client data and will process personal information only for the purposes of providing services under this Agreement.

Representations, Warranties and Client Obligations

Client represents that it has authority to enter into this Agreement, that information provided to the Firm is true and complete, and that Client will promptly provide documents and access reasonably required for the Firm to perform the Services. The Firm represents that services will be performed in a professional manner consistent with prevailing industry standards.

Limitation of Liability and Indemnification

Except for willful misconduct or gross negligence, the Firm's liability to Client for any claim arising out of or relating to this Agreement shall be limited to direct damages not to exceed the total fees paid by Client to the Firm under this Agreement in the preceding twelve months. Neither party shall be liable for incidental, special, consequential or punitive damages. Client shall indemnify and hold the Firm harmless from and against claims arising from Client's breach of representations, misuse of advice, or failure to provide accurate information.

Conflicts, Compliance and Regulatory Matters

The Firm will disclose any material conflicts of interest known at the time of entering this Agreement. Client acknowledges that the Firm may be subject to regulatory requirements that could affect communication and recordkeeping. Client shall notify the Firm of any change in circumstances that would affect the Firm's obligations under applicable law.

Dispute Resolution and Governing Law

This Agreement shall be governed by the laws mutually agreed below. The parties agree to attempt in good faith to resolve disputes informally prior to commencing formal proceedings. If unresolved, disputes shall be submitted to binding arbitration in the jurisdiction specified by the parties, unless the parties agree in writing to pursue court litigation for injunctive or other equitable relief.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the contact details set forth above or to such other address as a party may specify by written notice. Delivery by email is permitted, provided confirmation of delivery is retained.

Miscellaneous Provisions

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and understandings. Amendments must be in writing and signed by both parties. If any provision is found unenforceable, the remainder will remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or successor in interest.
