Representations, Warranties and Conditions to Closing

Each party represents and warrants to the other that: (a) it is duly organized and in good standing under applicable law and has full power and authority to enter into and perform its obligations under these Closing Documents; (b) execution and delivery hereof and the consummation of the transactions contemplated hereby have been duly authorized by all requisite corporate or other action; and (c) the execution, delivery and performance do not and will not violate any material agreement, judgment, order or law binding on that party.

The obligation of Lender to fund and of Borrower to accept funding at Closing is subject to the satisfaction, or written waiver by the party entitled to the benefit thereof, of the following conditions precedent: delivery of all executed documents required by the transaction, receipt of all governmental authorizations if applicable, no material adverse change in financial condition, and a closing certificate from Borrower certifying accuracy of representations as of the Closing Date.

Indemnity, Default and Remedies

Each party agrees to indemnify, defend and hold harmless the other party from and against any and all losses, claims, liabilities and expenses (including reasonable attorneys' fees) arising out of any breach of a representation, warranty or covenant herein. In the event of default, the non-defaulting party shall be entitled to pursue all remedies available at law or in equity, including acceleration of obligations, recovery of damages, and injunctive relief.

Tax Allocation and Reporting

Taxes, transfer fees, recording costs and statutory charges arising from the transaction shall be allocated and paid as set forth in the itemized settlement above unless otherwise specified in an executed settlement statement. Each party agrees to provide any certification or tax form reasonably necessary for proper tax reporting and to withhold amounts as required by applicable law.

Escrow Holdbacks and Post-Closing Obligations

Any amounts retained in escrow, holdbacks, or reserves shall be governed by the separate escrow agreement executed contemporaneously with these Closing Documents. Obligations that expressly survive Closing shall remain in full force and effect until satisfied in accordance with their terms.
