FINANCIAL COMBO RATE AGREEMENT

This Financial Combo Rate Agreement (the Agreement) is entered into as of Effective Date: by and between:

RATE CALCULATION & PAYMENTS

All periodic interest and fee calculations shall be on the basis stated in this Agreement. Unless otherwise provided, interest shall be computed on a 365-day year and actual days elapsed. Combo rate components shall be additive to determine the periodic charge and shall be applied in the order identified herein.

Payment Allocation: Payments received shall be applied first to accrued fees, then to accrued interest, and then to principal, unless Provider provides a written different allocation prior to payment.

Late Fee: of the overdue payment if not paid within days after the due date.

Upon default, Provider may accelerate the entire balance and exercise all rights and remedies at law or in equity, including collection of costs and reasonable attorneys' fees.

MISCELLANEOUS

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by Provider and Client as set forth in Provider Notice Address unless otherwise agreed in writing.

Amendment and Assignment: This Agreement may be amended only by a writing signed by both parties. Neither party may assign its rights or obligations without the prior written consent of the other, except to an affiliate or in connection with a merger, sale of substantially all assets, or financing.

Severability and Entire Agreement: If any provision is held invalid, the remaining provisions remain in full force. This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein.
