FINANCIAL COMMITMENT AGREEMENT

Interest, Fees and Repayment

Interest shall accrue on principal outstanding at a rate of per annum, calculated on a basis. Late payments shall incur a late fee of and default interest at above the contractual rate.

Each Party represents and warrants to the other that: (a) it is duly organized, validly existing and in good standing under the laws of its jurisdiction of organization; (b) it has full power and authority to enter into and perform its obligations under this Agreement; and (c) the execution and delivery of this Agreement and the performance of its obligations do not violate any agreement, law, or order applicable to it.

Covenants

Borrower covenants that, until all amounts owing under this Agreement are paid in full, Borrower will at all times (i) use the Commitment Amount solely for the purposes set forth herein, (ii) maintain accurate financial records and permit Lender to inspect such records upon reasonable notice, and (iii) comply with all applicable laws and material agreements.

Events of Default and Remedies

The following shall constitute Events of Default: (a) failure to pay any amount when due; (b) breach of any representation, warranty or covenant that is not cured within the specified cure period; (c) insolvency, appointment of a receiver, or commencement of bankruptcy proceedings by or against a Party; or (d) any material adverse change in the Borrower's financial condition.

Upon the occurrence of an Event of Default, Lender may, at its election, accelerate all obligations, suspend further disbursements, demand immediate payment, and pursue all remedies available at law or in equity.
