Representations, Warranties and Covenants

The Borrower represents and warrants that all financial statements and material disclosures provided to the Lender are true, correct and complete in all material respects as of the date hereof and that no material adverse change has occurred since their date. The Borrower covenants to comply with the affirmative and negative covenants set forth in the loan agreement to be executed at closing.

Events of Default and Remedies

Events of Default include, without limitation, failure to pay principal or interest when due, breach of representations or covenants, insolvency or bankruptcy of the Borrower, and cross-default to other material obligations. Upon the occurrence of an Event of Default, the Lender may accelerate amounts outstanding, declare termination of commitments, enforce security and pursue any other remedies available at law or in equity.

Confidentiality; Governing Law

This Commitment is confidential and may be disclosed only to the parties' advisors on a need-to-know basis. This Commitment and any definitive loan documents shall be governed by and construed in accordance with the laws of the jurisdiction specified in the definitive documents.
