FINANCIAL CONTRACTOR INCENTIVE AGREEMENT

Recitals

WHEREAS, Company engages Contractor to perform financial services as described in this Agreement; and WHEREAS, Company desires to provide financial incentives to Contractor conditioned on achievement of specified performance metrics and subject to the terms and conditions herein.

Payment Terms

Payouts shall be made within days of final verification of the applicable metrics. Payment will be subject to any offsets, withholdings, and clawbacks described herein.

Tax Treatment and Withholding

Contractor shall be responsible for all federal, state, and local taxes applicable to Incentive payments unless otherwise required by law. Company shall withhold taxes where required and shall provide Contractor with applicable tax documentation for any amounts withheld.

Contractor acknowledges that receipt of any equity-based Incentive may be subject to separate award agreements, escrow, or transfer restrictions, and agrees to execute any documents reasonably required to effectuate such awards.

Clawback; Repayment on Termination or Misconduct

In the event Contractor's employment or engagement is terminated for cause, or if Company determines that an Incentive was paid in error due to material misstatement, fraud, or willful misconduct by Contractor, Contractor shall repay the improperly paid Incentive amount to Company within days of demand.

Reporting and Audit Rights

Company shall provide Contractor with written reports of incentive calculations. Company reserves the right, at its expense, to conduct reasonable audits of Contractor records directly relevant to the performance metrics and incentive calculations upon days notice.

Representations, Warranties and Covenants

Each party represents and warrants that it has full power and authority to enter into this Agreement and that performance will not violate any other agreement. Contractor covenants to perform services in good faith and to provide truthful information relevant to calculation of Incentives.

Term and Termination

This Agreement shall commence on the Effective Date and remain in effect until all Incentive obligations have been satisfied or otherwise terminated pursuant to this Agreement. Either party may terminate this Agreement upon days' prior written notice, subject to payment obligations for metrics earned prior to termination.

Confidentiality

Contractor will maintain as confidential all nonpublic financial information and documentation of Company and will not disclose or use such information except as required to perform services under this Agreement. This obligation survives termination for a period of three years.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state of without regard to conflict of laws principles. Any dispute arising hereunder shall be resolved by arbitration in accordance with commercially reasonable arbitration rules unless the parties mutually agree to litigation.

Indemnification; Limitation of Liability

Each party shall indemnify and hold harmless the other from liabilities arising from its breach of this Agreement or willful misconduct. Neither party shall be liable for incidental or consequential damages except for willful misconduct or gross negligence.
