Use of Funds; Restrictions

Recipient shall apply the Contribution only for the purposes expressly stated in this Agreement and any ancillary schedule attached hereto. Use outside the stated purposes constitutes a material breach. If the Contribution is restricted, Recipient shall maintain separate accounts or sub-ledgers adequate to track expenditure of restricted funds and provide written notice to Contributor prior to reallocation.

Reporting, Records and Audit

Recipient shall provide Contributor with financial and programmatic reports as set forth below and shall retain records supporting expenditures for a minimum of five (5) years following final expenditure of the Contribution, or such longer period as required by law.

Representations and Warranties

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder; that execution and delivery of this Agreement has been duly authorized; and that this Agreement constitutes a valid and binding obligation of such party enforceable in accordance with its terms.

Confidentiality; Publicity

Unless otherwise agreed in writing, the fact of this Agreement and the amount of the Contribution may be disclosed by Recipient for fundraising and reporting purposes. Confidential information exchanged between the parties shall be used only for purposes of performance under this Agreement and shall be protected with reasonable care.

Indemnification and Remedies

Each party agrees to indemnify, defend and hold harmless the other party from any third-party claims arising out of a material breach of the representations, warranties or obligations herein. In the event of material breach by Recipient, Contributor may suspend additional payments, require repayment of unexpended restricted funds, or pursue other remedies at law or in equity.

Termination

This Agreement may be terminated by mutual written agreement or by Contributor upon written notice if Recipient materially breaches any term and fails to cure within thirty (30) days after receipt of notice specifying the breach. Termination does not relieve Recipient of obligations to account for expended funds.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Parties shall attempt in good faith to resolve disputes by negotiation prior to commencing litigation.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the contact details set forth below or such other address as either party may designate by written notice to the other.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior understandings. No amendment shall be effective unless in writing and signed by both parties.
