FINANCIAL CONVENTION AGREEMENT

Parties and Effective Date

This Financial Convention Agreement (the Agreement) is entered into as of (Effective Date), by and between:

Recitals

WHEREAS, the parties desire to set forth binding conventions and financial terms governing transfers, payments, reporting, and remedies with respect to transactions between them; and

Definitions

Capitalized terms used in this Agreement shall have the meanings specified herein. Unless the context requires otherwise, “Business Day” means a day on which banks are open for general commercial business in the governing jurisdiction.

Late Payments, Default and Remedies

If any scheduled payment is not received by the receiving party on or before the applicable due date, the unpaid amount shall accrue interest at the Interest Rate and, in addition, incur a late fee equal to:

Upon failure to cure any monetary default within days following written notice, the non-defaulting party may accelerate all outstanding obligations, suspend performance, set off amounts, and pursue any remedy available at law or in equity.

Taxes and Withholding

Each party shall be responsible for its own taxes arising from or related to payments under this Agreement unless otherwise required by law. To the extent any withholding or deduction is required by applicable law, the paying party shall withhold such taxes and provide the recipient with written evidence of the withholding.

Reporting, Records and Audit

The party receiving payments shall provide periodic statements in accordance with the reporting frequency set forth below and shall retain records supporting all amounts billed and paid for a period of at least years. The non-paying party shall have the right to audit such records upon reasonable prior notice, during normal business hours, not more than once per year.

Confidentiality and Publicity

Each party shall keep confidential all non-public terms and information received under this Agreement and shall not disclose such information except (i) to its employees, agents or advisors who have a need to know and are bound by confidentiality obligations, (ii) as required by law, or (iii) with the prior written consent of the other party.

Representations, Warranties and Indemnities

Each party represents and warrants that it has full corporate power and authority to enter into this Agreement and to perform its obligations hereunder, and that the execution of this Agreement has been duly authorized. Each party agrees to indemnify and hold harmless the other from any third-party liabilities arising from its breach of the representations, warranties or covenants contained herein.

Notices

All notices required under this Agreement shall be in writing and delivered to the addresses set forth below by hand, certified mail, or overnight courier, and shall be deemed given upon receipt.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles. Any dispute arising under this Agreement shall be resolved by arbitration or litigation as elected by the non-breaching party; the parties acknowledge arbitration is a permissible remedy.

Amendments and Waiver

No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. A waiver of any right or remedy under this Agreement shall not constitute a waiver of any other right or remedy.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior negotiations and understandings.
