FINANCIAL CORPORATE RATE AGREEMENT

Recitals and Purpose

This Financial Corporate Rate Agreement (the Agreement) sets forth the rates, fees, calculation methodologies and terms under which Provider will provide financial services to Client, including but not limited to credit facilities, treasury services, foreign exchange, merchant acquiring services and deposit-related pricing. Provider and Client hereby agree as follows:

Definitions

Unless otherwise defined in this Agreement, capitalized terms shall have the meanings set forth in the schedules and clauses below. "Base Rate" means Provider's reference lending rate as published in Provider's internal rate bulletin at the time of calculation. "Business Day" means a day when Provider is open for commercial banking operations.

Rate Schedule

The table below describes the service, the pricing/rate, calculation basis, and the date upon which the rate or fee becomes effective. Rates and fees will be applied in accordance with the calculation basis and rounding rules stated herein.

Terms of Application and Adjustment

Provider shall apply the rates and fees in the Rate Schedule to Client accounts and transactions in accordance with the Calculation Basis. Provider reserves the right to adjust variable rates in accordance with changes in the Base Rate, market indices or regulatory requirements. Provider shall provide written notice of any adjustment no fewer than days prior to the change, except where shorter notice is permitted by law.

If Client elects to accept alternative pricing methods (including tiered pricing, volume discounts or fixed fees), such elections must be recorded on a signed schedule appended hereto and will supersede the corresponding line item in the Rate Schedule.

Billing, Payment and Invoicing

Late payments will incur interest at a rate of on overdue amounts, compounded monthly to the maximum extent permitted by applicable law. Client shall remain liable for all collection costs and expenses, including reasonable attorneys' fees.

Default, Remedies and Setoff

An Event of Default occurs if Client (a) fails to pay any amount when due, (b) breaches any material obligation under this Agreement, (c) becomes insolvent or ceases business operations, or (d) an involuntary petition in bankruptcy is filed and not dismissed within the applicable cure period. Upon Event of Default Provider may suspend services, accelerate amounts due, increase rates to a default rate, exercise any security interest, and set off any amounts owed against Client funds on deposit with Provider.

Confidentiality; Data and Reporting

Each party shall treat as confidential the other party's non-public business and financial information and shall not disclose such information except as required by law or regulation. Provider may aggregate and anonymize usage data for internal reporting and regulatory compliance. Client authorizes Provider to provide required regulatory reports and audit responses concerning the application of rates and fees.

Representations, Warranties and Covenants

Client represents and warrants that it is duly organized, validly existing and has full power and authority to enter into this Agreement and perform its obligations. Client covenants to maintain accurate records necessary to verify fee calculations and to permit Provider, upon reasonable notice, to audit such records for a period of up to three (3) years following any billing event.

Indemnity and Limitation of Liability

Each party agrees to indemnify and hold harmless the other party from claims arising from its negligence, willful misconduct, or breach of this Agreement. Except for liability arising from gross negligence, willful misconduct or breaches of confidentiality and indemnification obligations, neither party shall be liable to the other for consequential, incidental, special or punitive damages.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the governing_state selected by the parties. Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration administered by a recognized arbitration body, unless otherwise agreed in writing, and judgment on the award may be entered in any court having jurisdiction.

Notices required or permitted under this Agreement shall be in writing and delivered to the contact details set forth below or to such other address as a party may designate by notice.

Audit Rights and Recordkeeping

Provider shall retain records of fees and rate calculations for a minimum of three (3) years. Client grants Provider the right to audit Client records to verify fee calculations upon reasonable notice. Any disputes regarding billing discovered by audit will be corrected promptly; adjustments in favor of Client shall be applied as credit or refund.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements. No amendment shall be effective unless in writing and signed by authorized representatives of both parties. If any provision is held invalid, the remainder shall remain in full force.
