FINANCIAL COST AGREEMENT

This Financial Cost Agreement ("Agreement") is entered into as of by and between:

Recitals

WHEREAS, Client desires to engage Provider to incur and manage certain costs in connection with the services described in this Agreement; and

WHEREAS, Provider will incur third-party costs and internal expenses on behalf of Client and seeks agreement as to allocation, invoicing, and payment of such costs.

Definitions

"Costs" means all third-party charges, disbursements, expenses, fees and other direct charges incurred by Provider in connection with the performance of services for Client, including without limitation vendor fees, filing fees, courier and delivery charges, travel, and specialized third-party services.

"Invoice Date" means the date stated on Provider's invoice. "Due Date" means the date by which Client must remit payment as set forth in the Billing and Payment Terms.

Scope of Costs Covered

Provider will seek reimbursement from Client for costs that are reasonable, documented, and directly related to the services provided. Costs not explicitly authorized in writing will not be reimbursable unless subsequently approved by Client in writing.

The parties acknowledge the following estimated cost schedule. Estimates are not guarantees; final reimbursable amounts shall be documented on Provider's invoices.

Billing and Payment Terms

Provider shall submit itemized invoices to Client on the following schedule: . Payment is due within days of the Invoice Date (Payment Terms). Provider's invoices shall include supporting receipts and documentation for all reimbursable costs.

Late payments shall incur interest at an annual rate of (or the maximum rate permitted by law, if lower), calculated from the Due Date until payment is received in full.

Retainer or Security

Client shall pay a retainer in the amount of if required. The retainer will be applied to final invoices and any unused portion will be returned within 30 days after final accounting.

Provider will obtain prior written approval for any single expense exceeding unless immediate third-party action is required to preserve Client's interest, in which case Provider shall promptly notify Client.

Taxes and Withholding

Unless otherwise stated, Client shall be responsible for any sales, use, value added or similar taxes imposed on reimbursable costs. Provider will identify taxes on each invoice when applicable.

Default; Remedies

Failure by Client to pay any undisputed invoice within the Payment Terms will constitute a material breach. Provider may suspend services and recover costs, interest, and any collection expenses, including reasonable attorneys' fees. Provider's right to recover costs is in addition to any other remedies at law or equity.

Records; Audit Rights

Provider shall maintain records substantiating costs for a period of three years from invoice date. Client shall have the right to inspect such records upon reasonable notice during normal business hours and at Client's expense for any audit that is not more frequent than once every 12 months.

Representation, Warranties and Limitation of Liability

Each party represents and warrants that it has the full power and authority to enter into this Agreement. Provider warrants that billed Costs are not excessive and reflect good faith efforts to minimize expenses. Except for willful misconduct or gross negligence, neither party shall be liable for indirect, incidental, or consequential damages arising from this Agreement.

Term and Termination

This Agreement shall continue until completion of the services or until terminated by either party upon days' written notice. Termination shall not relieve Client of its obligation to pay undisputed costs incurred prior to termination.

Notices

Notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party designates in writing. Notices shall be effective upon personal delivery, two days after deposit with a nationally recognized overnight courier, or three days after mailing by certified mail.

Entire Agreement; Amendment

This Agreement constitutes the entire understanding between the parties with respect to the subject matter and supersedes all prior agreements. Any amendment must be in writing and signed by duly authorized representatives of both parties.
