WHEREAS, Applicant hereby authorizes Recipient Entity and its agents, affiliates, or third-party service providers to obtain, review, verify, retain, and share credit reports, credit scores, payment history, and related financial information from one or more credit reporting agencies or data providers for the purposes stated in this Consent;

WHEREAS, the parties desire to document the scope, terms of payment for any fees charged in connection with credit searches, confidentiality obligations, and other material terms applicable to the use of Applicant's credit information.

SCOPE OF AUTHORIZATION AND SCOPE OF WORK

Applicant authorizes Recipient Entity to obtain the following types of information for evaluation purposes (select all that apply):

PAYMENT TERMS

Applicant agrees to pay fees charged by Recipient Entity for obtaining credit information as follows:

Late payments shall incur interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law from the date due until paid. Applicant is responsible for all collection costs, including reasonable attorneys' fees and costs of collection, to the extent permitted by law. Late fee rate:

Either party may terminate this Consent for convenience upon providing written notice to the other party at least days prior to termination. Termination shall not affect Recipient Entity's right to retain or use information obtained prior to termination to the extent permitted by law. Provisions regarding confidentiality, indemnity, and governing law survive termination.

CONFIDENTIALITY

Recipient Entity shall treat Applicant's credit information as confidential and shall not disclose such information except (i) to third-party service providers retained to perform credit checks and ancillary services under written obligations of confidentiality, (ii) as required by law or regulation, or (iii) with Applicant's prior written consent. Recipient Entity shall implement reasonable administrative, technical, and physical safeguards to protect personal and financial information consistent with industry standards.

AUTHORIZATION AND REPRESENTATIONS

By signing below, Applicant expressly authorizes Recipient Entity and its designees to obtain consumer and/or commercial credit report(s), verify information with credit bureaus, financial institutions, employers, and other third parties, and to use such information for assessing creditworthiness, establishing or maintaining accounts, collections, or other legitimate business purposes as permitted by law. Applicant represents that all information provided to Recipient Entity is true and correct, and Applicant releases Recipient Entity and its agents from liability in accordance with applicable law for acts taken in reliance on this authorization, except where such liability arises from willful misconduct or gross negligence.

Applicant further acknowledges that a copy of this signed Consent may be retained and that Recipient Entity may provide a copy to any credit reporting agency or service provider as necessary to complete the authorized inquiries.

DATA RETENTION, SECURITY, AND REVOCATION

Recipient Entity will retain credit information only as long as necessary for the purposes set forth in this Consent or as required by law. Applicant may revoke this Consent in writing; however such revocation will not apply to actions taken in reliance on this Consent prior to receipt of revocation. Revocation may affect Applicant's eligibility for credit or services and does not relieve Applicant of liabilities or payment obligations incurred prior to revocation.

GOVERNING LAW

This Consent shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. Any dispute arising under this Consent shall be resolved in the courts located within that state, unless the parties agree otherwise in writing.

ENTIRE AGREEMENT; AMENDMENT; SEVERABILITY

This Consent constitutes the entire agreement between Applicant and Recipient Entity with respect to the subject matter hereof and supersedes all prior or contemporaneous oral or written agreements. Any amendment or modification to this Consent must be in writing signed by both parties. If any provision of this Consent is held to be invalid or unenforceable, the remainder of this Consent shall remain in full force and effect.
