FINANCIAL DERIVATIVES AGREEMENT

This Financial Derivatives Agreement (the Agreement) is made and entered into as of Effective Date: by and between the parties set forth below.

Parties

Recitals and Purpose

The parties desire to enter into one or more derivative transactions (each, a Transaction and collectively, the Transactions) that create contingent payment obligations with respect to specified underlyings. This Agreement sets forth the general terms, representations, collateral and close-out procedures applicable to all Transactions between the parties.

Key Definitions

"Business Day" means any day on which commercial banks are open for general business in the principal financial centre of the relevant currency. "Close-Out Amount" means the amount determined by the non-defaulting party in good faith representing the value of all outstanding Transactions following acceleration, termination or other close-out event. "Event of Default" includes but is not limited to: payment default, breach of undertaking, cross-default, insolvency, or failure to deliver required collateral.

The parties agree that Transactions entered into under this Agreement shall be evidenced by schedule entries or confirmations. Initial Transactions are set forth below.

Representations and Warranties

Each party represents and warrants to the other that: (a) it is duly organized and validly existing under applicable law and has full power and authority to execute and deliver this Agreement and to perform its obligations hereunder; (b) execution and performance will not violate any material agreement or law applicable to it; and (c) the person signing this Agreement on its behalf is duly authorized to bind it.

Collateral, Margin and Credit Support

If required by a party (the Secured Party), the other party (the Posting Party) shall provide collateral in the form and amount necessary to secure obligations arising from the Transactions. Collateral may include cash, letters of credit or instruments mutually agreed in writing. Margin calls shall be calculated and delivered in accordance with the procedures agreed in the relevant schedule or confirmation.

Payment, Netting and Set-Off

All payments under the Transactions shall be made in immediately available funds in the currency specified in the applicable confirmation. To the extent permitted by law, the parties agree that payments due between them in respect of two or more Transactions may be aggregated and netted such that only the net amount becomes due (Payment Netting). The non-defaulting party may exercise rights of set-off and close-out upon an Event of Default.

Events of Default; Termination and Close-Out

Upon the occurrence and continuation of an Event of Default, the non-defaulting party may by notice to the defaulting party: (i) accelerate and terminate outstanding Transactions; (ii) close-out, liquidate or replace all or any Transactions; and (iii) calculate a Close-Out Amount. Close-Out Amounts shall be determined in good faith and shall reflect commercially reasonable market quotations where available. The non-defaulting party's remedies are cumulative and are in addition to any rights provided by law.

Tax, Withholding and Indemnity

Each party shall be responsible for all taxes imposed on payments made by it, except that the payor shall withhold and remit amounts required by applicable law. The party required to withhold shall promptly notify the other party and use commercially reasonable efforts to minimize any withholding. Each party shall indemnify the other for losses caused by its breach of tax representations or failure to provide required tax documentation.

Confidentiality

Each party shall keep confidential all non-public information received from the other in connection with this Agreement and shall use such information only for the purposes of performing its obligations hereunder, except as required by applicable law or regulation or as otherwise mutually agreed in writing.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved by litigation in the courts of that jurisdiction or as otherwise set forth in an executed dispute resolution schedule.

Notices

All notices to a party under this Agreement shall be in writing and shall be delivered to the contact address set forth below (or to such other address as a party may designate by notice). Delivery by email is permitted for confirmations and notices provided receipt is acknowledged.

Assignment; Miscellaneous

Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a sale of all or substantially all of its assets. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and may be amended only by written agreement executed by both parties.

Execution

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Electronic signatures and transmitted copies of signed counterparts shall be binding and enforceable.
