The Client certifies that the payee information and bank details supplied are accurate and that the Client will indemnify and hold the Financial Institution harmless from any loss, claim, liability or expense arising out of reliance on this Financial Direction, except to the extent caused by the Financial Institution's gross negligence or willful misconduct.

Indemnity; Limitation of Liability

The Client agrees to indemnify and defend the Financial Institution against any claims, losses, damages, fines or expenses (including reasonable attorney's fees) resulting from the Client's direction except where such claims result directly from the Financial Institution's gross negligence or willful misconduct. In no event shall the Financial Institution be liable for special, incidental, consequential or punitive damages.
