FINANCIAL DISCOUNT AGREEMENT

This Financial Discount Agreement (the Agreement) is made effective as of Effective Date: by and between the parties identified below. This Agreement sets forth the terms by which the Originator sells, assigns and transfers certain financial instruments or receivables to the Investor at a discount and the rights and obligations of the parties regarding purchase price, payment, representations, covenants, default and remedies.

"Purchase Price" means the amount paid by the Investor to the Originator for the Receivables, calculated as Face Amount less Discount. "Discount" means the amount determined by applying the Discount Rate to the Face Amount for the applicable period.

Representations and Warranties

Each party represents and warrants to the other that: (a) it is duly organized, validly existing and in good standing under the laws of its jurisdiction; (b) it has the corporate power and authority to enter into and perform its obligations under this Agreement; (c) the execution, delivery and performance of this Agreement have been duly authorized; and (d) this Agreement constitutes a valid and binding obligation enforceable in accordance with its terms.

Covenants

Originator covenants to: (i) deliver to Investor on Settlement Date all originals and copies of documents reasonably required to effectuate the transfer of the Receivables; (ii) not create, permit or suffer any lien, security interest or encumbrance on the Receivables except as disclosed in writing to Investor; (iii) promptly provide all notices and information relating to collection activities upon Investor request.

Default and Remedies

Events of Default include, without limitation: failure to pay or deliver as required under this Agreement, material breach of a representation or warranty, insolvency, appointment of a receiver, or commencement of bankruptcy proceedings by or against a party. Upon an Event of Default, the non-defaulting party may (A) declare the Purchase Price immediately due and payable to the extent permitted by applicable law; (B) exercise setoff against any amounts owing; (C) pursue all available equitable and legal remedies. Remedies are cumulative and may be exercised concurrently or separately.

Fees, Expenses and Taxes

All reasonable costs and expenses (including reasonable attorneys' fees) incurred by Investor in enforcing its rights under this Agreement following an Event of Default shall be payable by Originator. Taxes (other than taxes based on Investor's income) arising from the transfer of Receivables shall be borne by Originator unless otherwise agreed in writing.

Notices

All notices must be in writing and delivered to the addresses set forth below by hand, certified mail (return receipt requested), or nationally recognized courier service. Notices are effective upon receipt.

Governing Law and Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements. No amendment to this Agreement will be effective unless in writing and signed by both parties. If any provision is held invalid or unenforceable, the remainder shall remain in full force and effect.

Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, which consent shall not be unreasonably withheld; provided that Investor may assign its rights to an affiliate or by operation of law.
