WHEREAS Provider operates and supplies certain financial services, products, or payment processing for which rates, fees or interest are charged; and WHEREAS Client desires to obtain specified reduced rates on certain Charges as set forth in this Agreement, and Provider is willing to grant such reductions subject to the terms below.

Definitions

For purposes of this Agreement, capitalized terms have the following meanings:

"Charges" means those fees, rates, interest, or other amounts payable by Client to Provider for the services or products described in Schedule A below.

"Discounted Rate" means the reduced rate or fee specified in the Discount Schedule and applied in accordance with Section "Discount Application".

The following table sets forth each Charge, the current or Original Rate, the Discounted Rate to be applied, and the period of application. Provider shall apply the Discounted Rate only to Charges that meet the conditions specified in this Agreement.

Provider will apply the Discounted Rate to Charges only if Client satisfies the eligibility criteria set forth below. Client acknowledges and agrees that failure to satisfy any of these conditions permits Provider to suspend or rescind the Discounted Rate.

In the event of an uncured material default by Client, Provider may suspend discounted pricing, accelerate amounts due, or terminate this Agreement. Client shall indemnify Provider for losses resulting from Client's breach, including reasonable costs of collection and attorneys' fees.

Confidentiality and Publicity

Both Parties shall maintain confidentiality of nonpublic business terms and data exchanged hereunder. Neither Party shall issue public statements or press releases regarding the terms of this Agreement without the other Party's prior written consent, except as required by law.

Notices

All notices required under this Agreement shall be in writing and delivered to the addresses set forth in this Agreement or to such other addresses as a Party may designate in writing. Notices are effective upon receipt.
