Distribution Instructions

The Account Holder hereby directs the Custodian to distribute the Total Amount in accordance with the beneficiary schedule below. Distributions shall be made on the Distribution Date specified for each beneficiary or, if no date specified, within five (5) business days of the Effective Date. The Account Holder affirms that the information provided is accurate and that the Account Holder has full authority to give these distribution directions.

The Custodian is authorized to deduct from the Total Amount any required federal, state, local or other taxes, withholdings, fees, or charges that are lawfully required to be withheld or charged. The Account Holder elects:

The Account Holder represents and warrants to the Custodian that: (a) the Account Holder has full power and authority to give these directions and to receive or direct the payment of the amounts specified; (b) all information provided is true, correct and complete; (c) the execution and performance of this Direction do not violate any agreement, order, judgment or law binding on the Account Holder; and (d) the Account Holder will indemnify the Custodian for any losses, liabilities or expenses arising from reliance on these directions except to the extent caused by the Custodian's gross negligence or willful misconduct.

Release and Limitation of Liability

Upon making distributions in accordance with this Direction and reasonable instructions provided herein, the Custodian shall be fully discharged from any further liability with respect to the amounts so distributed. The Custodian shall not be liable for any delays or failures to follow funding instructions resulting from inaccurate bank details provided by the Account Holder or beneficiary, or from circumstances beyond the Custodian's reasonable control.

Revocation and Amendments

This Direction is irrevocable by the Account Holder with respect to any distribution that has been initiated by the Custodian in good faith. Any revocation or amendment must be provided in writing and received by the Custodian prior to the Custodian's initiation of the affected distribution.

Governing Law; Severability

This Direction shall be governed by and construed in accordance with the laws of the state specified by the Account Holder below. If any provision of this Direction is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
