The Issuer represents and warrants that it is authorized to effect the distributions set forth in this document, that sufficient cleared funds exist in the Source Account for the specified payments, and that distributions will be made in accordance with applicable agreements and law. The Issuer shall indemnify and hold harmless the payees for errors arising from Issuer's failure to follow this schedule, except to the extent such errors arise from incorrect information provided by a payee.

Any disputes regarding allocation, calculation or withholding must be submitted in writing within 30 days of the distribution date. The Issuer may suspend further distributions pending resolution of any material dispute.
