Scope of Placement; Custody

The Receiving Party shall receive, store, and maintain custody of the documents listed above (the "Placed Documents") solely for the purposes set forth in this Agreement. The Receiving Party shall exercise reasonable care that is at least commensurate with the standard applied to comparable financial documents in its custody and control, and shall segregate the Placed Documents from property of the Receiving Party and other clients.

The Receiving Party's duties shall be limited to physical and/or electronic safeguarding and recordation of receipt and disbursement. The Receiving Party does not assume any obligation to verify the accuracy, validity, or enforceability of the Placed Documents except to confirm that the document identifiers match the inventory provided.

Delivery, Acceptance and Access

Acceptance by Receiving Party shall be evidenced by signature below or by written acceptance delivered to the Placing Party. Access to Placed Documents will be permitted to the Placing Party or its authorized designees upon at least business days' prior notice unless otherwise agreed in writing.

Representations, Warranties and Covenants

The Placing Party represents and warrants that it is the lawful owner, or has full authority to place, the Placed Documents and that the documents are free of liens and encumbrances except as disclosed in writing. The Receiving Party represents that it is duly authorized to accept custody and provide the services described herein.

Each party covenants to provide accurate inventories and to notify the other promptly of any claim, loss or known defect affecting any Placed Document.

Indemnification; Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, losses, damages or liabilities resulting from the indemnifying party's breach of this Agreement, negligence or willful misconduct. The Receiving Party's liability for direct damages arising from loss or destruction of Placed Documents shall be limited to the lesser of documented actual damages or the replacement cost of the specific documents lost, except in cases of gross negligence or willful misconduct.

Term, Termination and Disposal

This Agreement shall remain in effect until the Placed Documents have been returned or otherwise disposed of in accordance with the Placing Party's written instructions. Either party may terminate this Agreement upon days' prior written notice, subject to completion of any outstanding duties. Upon termination or at the Placing Party's direction, the Receiving Party will return or authorize destruction of documents as instructed in writing.

Confidentiality

The Receiving Party shall treat all Placed Documents and related information as confidential and shall not disclose such information except as required by law or with the Placing Party's prior written consent. The Receiving Party shall implement and maintain administrative, physical and technical safeguards appropriate to the sensitivity of the Placed Documents.

Notices

All notices required under this Agreement shall be in writing and delivered to the contact details below. Notices are effective upon receipt.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles.
