If no direction is received within days, Recipient may reassign funds to a substantially similar program or return the funds to Donor.

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations. Recipient represents that it shall comply with all applicable laws and regulations relating to receipt and use of charitable funds and shall maintain accurate records of receipts and expenditures.

7. Indemnification and Limitation of Liability

Donor shall indemnify and hold harmless Recipient from any claims arising from Donor's breach of representations, intentional misconduct, or provision of restricted or tainted funds. Recipient shall indemnify and hold harmless Donor from any liability arising from Recipient's misuse of the donated funds. Neither party shall be liable for consequential damages except for those arising from willful misconduct or fraud.

8. Termination; Return of Funds

This Agreement shall terminate upon completion of the Purpose and final reporting, or earlier upon mutual written agreement. In the event of material breach by Recipient of the use restrictions set forth herein, Recipient shall, to the extent permitted by law and subject to any lawful liens or obligations, return unexpended funds to Donor within days after notice of breach.

9. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below. Notices shall be deemed given when delivered personally, by certified mail, or by overnight courier.
