Representations, Warranties and Covenants

The Borrower represents and warrants that as of the Drawdown Date: (a) all representations and warranties in the Facility Agreement are true and correct in all material respects, (b) no Event of Default has occurred and is continuing, and (c) the Drawdown will be applied solely for the Purpose of Drawdown as set out above.

The Borrower further covenants that the Borrower shall comply with all obligations under the Facility Agreement and that all required consents, approvals and authorisations necessary for this drawdown have been obtained.

Taxes, Withholding and Indemnity

The Borrower shall be responsible for all taxes, levies and duties (other than taxes imposed on the global net income of the Lender) arising in connection with the Drawdown. The Borrower shall indemnify and hold harmless the Lender from any liability resulting from any failure to account for or pay such taxes.

Default and Remedies

If an Event of Default occurs prior to disbursement or thereafter, the Lender may withhold disbursement, accelerate the Facility, and exercise any rights and remedies available under the Facility Agreement and applicable law. The Borrower acknowledges that this Drawdown Declaration does not limit or waive any rights of the Lender.

Notices and Governing Law

All notices relating to this Drawdown Declaration shall be given in accordance with the notice provisions of the Facility Agreement. This Drawdown Declaration is governed by and shall be construed in accordance with the governing law of the Facility Agreement.
