The Borrower certifies that, as at the date of this Drawdown Letter, each of the conditions precedent to the requested advance under the Facility Agreement referenced above has been satisfied or waived in accordance with the Facility Agreement. In particular, the Borrower represents and warrants to the Lender that:

  1. All representations and warranties in the Facility Agreement are true and correct in all material respects on and as of the Value Date, with the same effect as if made on such date.
