Recitals

WHEREAS, Borrower is engaged in the development, ownership, operation or financing of electricity generation, transmission or distribution assets described in Schedule A; and

WHEREAS, Lender agrees to provide financing on the terms and conditions set forth in this Agreement to fund the Project identified below, and Borrower desires such financing subject to the covenants, representations and security interests set forth herein.

Security and Collateral

As security for Borrower's obligations under this Agreement, Borrower grants to Lender a continuing first-priority security interest in the Project assets, accounts, contracts, proceeds and related rights, subject to permitted liens set forth in this Agreement. Representations, Warranties and Covenants

Each party represents and warrants that it has full power and authority to enter into this Agreement, and that execution and performance will not violate any material agreement. Borrower covenants to maintain the Project, comply with all applicable electric sector regulations, and deliver periodic financial and operational reports as required.

Events of Default and Remedies

Events of Default include failure to pay any principal or interest when due, breach of covenants or representations, insolvency, cross-default to material indebtedness, and final judgment liens. Upon Event of Default, Lender may accelerate amounts due, exercise remedies against collateral, and recover costs of enforcement including reasonable attorneys' fees.

Taxes, Costs and Payment Instructions

All payments are net of taxes unless otherwise required by law. Borrower shall pay or remit any withholding taxes and provide evidence of payment or gross-up if required.

Indemnity and Limitation of Liability

Each party indemnifies the other for claims arising from its breach, negligence or willful misconduct. Neither party shall be liable for indirect, incidental or consequential damages except for willful misconduct or gross negligence.

Notices

All notices must be in writing and delivered to the addresses set forth above or to alternate addresses provided in writing by either party. Notices are effective when received.

Governing Law and Miscellaneous

This Agreement is governed by the laws of the jurisdiction identified below. The parties agree that any amendment must be in writing and signed by both parties. This Agreement may be executed in counterparts and by electronic signature.
