2. Availability and Disbursement. Disbursement of endorsed funds shall be made in accordance with Beneficiary's submission of a written draw request certifying that the funds will be applied to the Purpose. REPRESENTATIONS, WARRANTIES, AND COVENANTS

Endorser represents and warrants that: (a) it has full corporate or legal power and authority to execute, deliver, and perform this Financial Endorsement; (b) the execution and performance will not violate any agreement or law binding on Endorser; and (c) funds made available pursuant to this Endorsement will be free of liens or encumbrances unless disclosed in writing.

Beneficiary represents and warrants that: (a) the information and supporting documentation submitted in connection with draw requests are true, correct and complete; and (b) funds received will be used solely for the Purpose described in this document unless otherwise agreed in writing.

INDEMNITY, LIABILITY AND DEFAULT

Beneficiary shall indemnify and hold Endorser harmless from and against any loss, claim, damage or expense (including reasonable attorneys' fees) arising from Beneficiary's breach of this Endorsement, misuse of funds, or false statements in draw requests. In the event of default by Beneficiary, Endorser may suspend further disbursements, accelerate repayment obligations (if any), and exercise any remedy available at law or equity.

NOTICES

All notices, demands or communications required or permitted under this Endorsement shall be in writing and delivered to the parties at the addresses provided below. Notice shall be effective upon receipt.
