Confidential information shall be returned or destroyed upon termination, subject to record retention obligations set forth below.

Limitation of Liability; Indemnification

The Firm's liability for claims arising from the services will be limited to direct damages not to exceed the total fees paid to the Firm under this Agreement for the specific engagement giving rise to the claim. In no event shall the Firm be liable for special, incidental, consequential or punitive damages. The Client agrees to indemnify, defend and hold the Firm harmless from third-party claims arising from Client's breach of this Agreement or Client-provided information.

Term, Termination and Suspension

This Agreement commences on the Effective Date and continues until the completion of the services or until terminated by either party upon days' written notice. The Firm may suspend services if invoices are not paid when due.

Records; Access; Retention

The Firm will maintain working papers and records relevant to the services for a period of years. Client may request reasonable access to engagement files; the Firm may charge for reproduction and retrieval.

Governing Law; Dispute Resolution

This Agreement shall be governed by the laws of the jurisdiction specified below. Any dispute arising under this Agreement shall be resolved by binding arbitration unless the parties mutually agree otherwise.
