Protections shall be released only upon satisfaction of the conditions below. Release requires the delivery of all required documentation and, where applicable, written consent of the Protector.

Default, Remedies, and Enforcement

Upon material breach by Client of any payment or duty set forth herein, Protector is authorized to exercise remedial measures including enforcement of liens or disposition of pledged interests in accordance with applicable law. Remedies are cumulative and in addition to any rights at law or in equity.

Indemnification and Liability

Each party shall indemnify and hold harmless the other from any losses, claims, liabilities or expenses arising from breaches of its representations, warranties or willful misconduct. Except for willful misconduct or gross negligence, neither party shall be liable for consequential or punitive damages.

Notices

All formal notices required under this agreement shall be in writing and delivered to the addresses listed below or to such other address as a party may specify in writing pursuant to this Notices provision.
