Each party shall indemnify the other for claims arising from its negligence, willful misconduct, or breach of this Addendum. Notwithstanding the foregoing, neither party shall be liable to the other for consequential, incidental, or punitive damages, and aggregate liability for direct damages arising out of this Addendum shall not exceed the total fees paid under this Addendum during the preceding twelve (12) months, except for liability resulting from gross negligence or willful misconduct.
