Acceptance of this quote creates a binding financing agreement between the parties only when Provider executes the definitive documents and delivers funds in accordance with the funding conditions.

Client represents and warrants that all information provided in connection with this quote is true, complete and accurate, that Client has full power and authority to enter into the financing transaction, and that funds will be used solely for the event purposes described above. Client agrees to indemnify Provider against any losses arising from false or misleading information.

Events of default shall include failure to pay any amount when due, material breach of any representation, insolvency or commencement of bankruptcy proceedings, fraud, or failure to provide required documentation. Upon an event of default Provider may declare the outstanding principal, accrued interest and fees immediately due and payable and pursue all remedies available at law or equity, including recovery of collection costs and attorneys' fees.

Prepayment: Client may prepay in whole or in part subject to any prepayment fee expressly set forth in the definitive documents. Provider will apply prepayments in accordance with the payment allocation provisions in the definitive documents.

Confidentiality: Both parties shall keep the terms of this quote and any non-public information exchanged in connection with the transaction confidential, except as required by law or as necessary to enforce rights under the financing documents.

Governing Law: This quote and any resulting financing documents shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles.
