Recitals

WHEREAS, Creditor agrees to make funds available to Debtor and Debtor agrees to accept and permit execution of the financial obligations described herein under the terms and conditions of this Financial Execution Document (the "Document"); and

WHEREAS, the parties desire a definitive statement of the principal, interest, payment schedule, default remedies, and rights to execute instruments or instruct third-party payment agents in furtherance of payment and settlement obligations.

For purposes of this Document, capitalized terms not otherwise defined have the meanings given herein. "Principal" means the initial monetary obligation to be executed: USD.

"Interest Rate" means the annual rate applicable to outstanding principal: per annum, calculated on a 365-day year.

Execution and Payment Terms

1. Obligation to Execute. Creditor shall cause the full Principal to be made available to Debtor pursuant to the payment instructions herein. Debtor authorizes Creditor and any authorized agent to execute and settle financial instruments, payments, transfers, or acknowledgments necessary to effect the transfers described in this Document.

Interest, Prepayment, and Fees

Interest shall accrue on unpaid principal at the Interest Rate stated above. Interest on any overdue amounts shall accrue at the default rate equal to Interest Rate plus per annum, compounded daily.

Default and Remedies

An Event of Default occurs if Debtor fails to pay when due, becomes insolvent, breaches a material covenant, or if any representation proves materially false. Upon Event of Default, Creditor may declare all amounts immediately due and payable, exercise rights against collateral, instruct third-party transfer agents, and recover costs and attorneys' fees incurred in enforcement.
