FINANCIAL EXPENSE AGREEMENT

This Financial Expense Agreement is made effective as of between Payor Name: (the "Payor") and Payee Name: (the "Payee"). This Agreement sets forth terms and conditions under which the Payor will reimburse the Payee for authorized business expenses.

Expenses that are personal, duplicative, or otherwise expressly excluded by Payor policy are not reimbursable. Where pre-authorization is required, the Payee must obtain written approval specifying the type and maximum amount of the expense. The Payor may condition approval on submission of estimates, project codes, or advance funds. Documentation of pre-authorization shall be attached to any reimbursement request.

The Payee shall submit an itemized expense report together with original receipts, invoices, or other supporting documentation within days of incurring each expense unless otherwise authorized in writing. Electronic copies are acceptable only if originals are not available, provided they clearly show date, merchant, description and amount.

7. Payment Terms

Payor will reimburse eligible expenses within days of receipt of an approved expense report. Reimbursements will be made by the method selected by the Payor (direct deposit, check, or other). Late reimbursements may incur interest at where permitted by law.

Advances for anticipated expenses require prior written approval and must be documented. Any advances paid will be reconciled against subsequent expense reports. Payor may offset future payments against advances, overpayments, or indebtedness owed by the Payee to the Payor.

9. Audit Rights and Record Retention

The Payor reserves the right to audit expense reports and supporting documentation. The Payee agrees to retain original receipts, invoices, and related records for a minimum of years and to produce them upon reasonable request.

10. Compliance, Indemnification and Taxes

The Payee certifies that expenses submitted are accurate, incurred in the performance of duties, and comply with applicable law and Payor policy. The Payee shall indemnify and hold the Payor harmless from any claims, taxes, penalties, or liabilities arising from false statements, personal use of funds, or failure to report taxable amounts. The Payor will report reimbursements for tax purposes as required by law.

11. Confidentiality and Data

Expense reports and supporting documents may contain confidential business information. The parties agree to protect such information in accordance with applicable confidentiality obligations and only disclose it as required by law.

12. Remedies and Termination

Failure to comply with this Agreement, including submission of false or fraudulent expenses, constitutes grounds for withholding reimbursement, demanding repayment of advances, disciplinary action, and other remedies available at law or equity. Either party may terminate this Agreement upon written notice; termination does not relieve either party of obligations incurred prior to termination.

13. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the jurisdiction identified by the Payor below. Disputes arising under this Agreement shall be resolved through negotiation and, if unresolved, through binding arbitration or in the courts of the governing jurisdiction as selected by the Payor.

14. Certifications

By signing below, the Payee certifies under penalty of perjury that the expenses claimed are true, accurate, and were incurred in the performance of obligations for the Payor, and that all attached receipts are authentic. The Payor certifies that funds provided are used only for authorized purposes and that any recoveries will be promptly collected.
