FINANCIAL FEE AGREEMENT

This Financial Fee Agreement (Agreement) is made effective as of (Effective Date) by and between the parties set forth below.

Advisor will provide financial advisory services as described below and such other advisory or administrative services as the parties may agree in writing. Services may include, without limitation, portfolio management, investment advice, financial planning, reporting, and periodic reviews.

Billing and Payment Terms

Advisor will invoice Client in accordance with the fee selections above. Invoices are due within days of invoice date unless otherwise specified. Late payments shall incur interest at the rate of % per month (or the maximum allowable by applicable law), compounded monthly.

Expenses and Reimbursable Costs

Client will reimburse Advisor for reasonable out-of-pocket expenses incurred in connection with the services, including but not limited to travel, filing fees, third-party research, custodial fees, and approved subcontractor charges. Reimbursable expenses will be itemized on invoices.

Term, Termination & Suspension

This Agreement will commence on the Effective Date and continue until terminated by either party on not less than days' prior written notice. Advisor may suspend services on written notice if Client fails to pay fees or reimburse expenses when due. Termination shall not relieve Client of obligations to pay fees and expenses accrued through the effective date of termination.

Confidentiality and Conflicts of Interest

Each party shall maintain the confidentiality of the other's non-public information and shall not disclose such information except as required by law or with prior written consent. Advisor will disclose material conflicts of interest and will act in Client's best interests in accordance with applicable fiduciary obligations.

Limitation of Liability and Indemnification

Except for willful misconduct or gross negligence, Advisor's liability for any claim arising out of this Agreement shall be limited to direct damages not to exceed the fees paid to Advisor during the preceding twelve months. Client shall indemnify, defend, and hold harmless Advisor from claims arising from Client's breach of this Agreement, Client-provided information, or Client-directed actions.

Dispute Resolution and Governing Law

The parties agree to attempt to resolve disputes in good faith through negotiation. If unresolved within sixty (60) days, disputes shall be resolved by binding arbitration in the county or jurisdiction specified below, conducted pursuant to the rules agreed by the parties. This Agreement is governed by the laws of the state of , without regard to choice-of-law principles.

Representation, Warranties & Compliance

Each party represents that it has full authority to enter into this Agreement and will comply with applicable laws, rules and regulations. Client warrants that the information provided to Advisor is accurate and complete to the best of Client's knowledge.

Amendment; Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions and agreements. This Agreement may be amended only by a written instrument signed by both parties.

Miscellaneous

Notices under this Agreement shall be in writing and delivered to the addresses set forth above. If any provision of this Agreement is held invalid, the remaining provisions shall continue in full force and effect. This Agreement may be executed in counterparts, each of which shall be an original.
