Recitals

This Financial Fee Arrangement (the Agreement) sets forth the fees, billing procedures and related terms under which the Financial Firm will provide financial advisory, investment management, consulting or other professional services (collectively, Services) to the Client identified above.

Billing and Payment

Invoices will be issued by the Firm as described above and are due within days of receipt, unless otherwise agreed in writing. Client shall pay all undisputed fees in the currency invoiced.

Late Payment: Unpaid amounts shall accrue interest at (or the maximum allowed by law) plus reasonable collection costs. Fees are non-refundable except as expressly stated in this Agreement.

Expenses

Client shall reimburse Firm for pre-approved, reasonable out-of-pocket expenses incurred in the performance of Services, including but not limited to: travel, third-party vendor fees, filing fees and courier charges. Reimbursement requests shall be accompanied by documentation and billed in the next invoice.

Term, Termination and Suspension

This Agreement shall commence on the Effective Date and remain in effect until terminated by either party upon days' prior written notice. Firm may suspend Services for nonpayment after providing written notice and a day cure period.

Default, Remedies and Refunds

In the event of material breach, the non-breaching party may terminate the Agreement if the breaching party fails to cure the breach within days of written notice. Refunds of prepaid fees, if any, shall be pro rata for unperformed Services except where otherwise stated.

Confidentiality

Each party agrees to maintain the confidentiality of the other party’s non-public information and to use such information only for purposes of performing obligations under this Agreement. Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law, provided that the disclosing party is given prompt notice and assistance in seeking confidential treatment where permitted.

Representations, Warranties and Indemnification

Each party warrants that it has authority to enter into this Agreement. Client shall indemnify and hold Firm harmless from claims arising from Client’s failure to provide accurate information or from actions taken in reliance on the Client’s instructions, except to the extent caused by Firm’s gross negligence or willful misconduct.

Limitation of Liability; Remedies

Except for liability resulting from gross negligence, willful misconduct or breach of confidentiality obligations, each party’s aggregate liability under this Agreement shall not exceed the total fees paid to Firm by Client in the twelve (12) months preceding the claim. The parties agree that money damages are the exclusive remedy for breaches, except where injunctive relief is necessary to prevent imminent harm.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state of without regard to its conflicts of law rules. The parties agree to attempt good faith negotiation of disputes; if unresolved, disputes shall be submitted to binding arbitration in accordance with commercially reasonable arbitration rules, unless the parties mutually agree otherwise in writing.

Notices

All notices shall be in writing and delivered to the addresses below by hand, certified mail or overnight courier and shall be effective upon receipt.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior understandings. Any amendment must be in writing and signed by both parties. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
