Scope, Applicability and Definitions

This Financial Fee Schedule (the "Schedule") sets forth the fees, charges, surcharges, and administrative costs applicable to services provided by the Issuer to the Recipient. Fees listed herein apply to the services and billing periods expressly identified in this Schedule and supersede prior written schedules only to the extent expressly stated in writing by the Issuer.

Defined terms used in this Schedule shall have the meanings assigned in the primary agreement between the parties, if any. In the absence of a primary agreement, the following definitions apply: "Service" means the deliverable or activity for which a fee is listed; "Billing Cycle" means the frequency at which fees are invoiced as set forth in Billing and Payment.

Billing and Payment Terms

Fees are invoiced in accordance with the Billing Cycle agreed between the parties. Unless otherwise stated, payment is due within the number of days specified below from invoice date. The Issuer may require prepayment, deposits, or security for particular services where indicated in this Schedule.

Taxes, Adjustments and Surcharges

All amounts are exclusive of taxes unless specifically indicated. The Recipient is responsible for all taxes, duties, and levies imposed by any authority, except taxes based on the Issuer's net income. The Issuer reserves the right to apply surcharges, fuel adjustments, or regulatory pass-through charges where applicable; such adjustments will be identified on the invoice.

Adjustments, Credits and Refunds

Requests for billing adjustments or credits must be submitted in writing within thirty (30) days of the invoice date and must identify the disputed item with reasonable particularity. Failure to submit a timely dispute constitutes a waiver of the right to adjustment with respect to the disputed invoice.

Modifications; Amendment

The Issuer may amend this Schedule upon written notice to the Recipient in accordance with the primary agreement or, absent such agreement, upon thirty (30) days' written notice. Fees set forth in this Schedule shall remain in effect for the period expressly stated herein and for any renewal term unless modified in accordance with this paragraph.

Limitation of Liability; Remedies

Except as expressly set forth in a signed agreement between the parties, the Issuer's liability arising from or relating to the fees listed in this Schedule is limited to direct damages actually incurred and shall not exceed the amount paid by the Recipient for the services giving rise to the claim in the twelve (12) months preceding the claim. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES.

Dispute Resolution; Governing Law

Any dispute regarding the interpretation or application of this Schedule will be resolved in accordance with the dispute resolution procedures set forth in the primary agreement. If no primary agreement exists, disputes shall be resolved by binding arbitration in accordance with commercial arbitration rules mutually agreed upon by the parties. This Schedule shall be governed by and construed in accordance with the laws governing the primary agreement or, if none, the laws of the jurisdiction of the Issuer's principal place of business.
