Effect on Original Agreement; Miscellaneous

Except as expressly modified by this Amendment, all terms and conditions of the Original Agreement remain in full force and effect. In the event of a conflict between the terms of the Original Agreement and this Amendment, the terms of this Amendment shall prevail solely with respect to the Fee Schedule provisions amended herein.

This Amendment may be executed in counterparts, each of which constitutes an original, and delivery by electronic transmission of a signed counterpart shall be effective as delivery of an original. This Amendment shall be governed by the substantive law applicable to the Original Agreement.
