FINANCIAL FELLOWSHIP AGREEMENT

This Financial Fellowship Agreement ("Agreement") is entered into on by and between:

Recitals and Purpose

WHEREAS, the Funder desires to provide financial support to the Fellow to carry out the activities described in the Scope of Fellowship Use, and the Fellow agrees to perform such activities and to comply with the terms and conditions set forth in this Agreement.

Term

The term of this Agreement shall commence on and shall terminate on unless earlier terminated in accordance with Section Termination.

Fellowship Amount and Disbursement

The Funder shall provide financial support to the Fellow in the total principal amount of $ ("Fellowship Amount") subject to the disbursement schedule below and the terms of this Agreement. Disbursements shall be made only for uses expressly permitted in Section Allowable Uses and Budget.

Disbursements are contingent upon satisfactory compliance with reporting obligations and any conditions precedent specifically identified in this Agreement. The Funder reserves the right to withhold or suspend disbursements upon material breach, omission, or fraud.

Allowable Uses and Budget

Funds may be used only for expenses described in the approved budget. Any reallocation of funds or material budget changes require prior written approval by the Funder. Unauthorized use of funds constitutes a material breach and may require repayment pursuant to Remedies.

Reporting, Records, and Audit

The Fellow shall submit interim and final reports in the form and on the schedule below. All financial records, receipts and supporting documentation related to the Fellowship shall be retained for a minimum of three (3) years following final payment and made available to the Funder upon request.

Taxes and Withholding

The Fellow is solely responsible for any taxes, withholdings, or similar obligations arising from receipt of Fellowship funds. The Funder will not withhold taxes unless required by law. The Fellow shall provide any tax forms reasonably required by the Funder prior to initial disbursement.

Intellectual Property and Publications

Unless otherwise agreed in writing, the Fellow retains ownership of intellectual property developed during the Fellowship. The Fellow grants the Funder a non-exclusive, royalty-free license to use and reproduce results, reports, and summarizing materials for internal, promotional, and reporting purposes, provided that publication credit is given to the Fellow where practicable.

Confidentiality

Each party shall protect Confidential Information disclosed by the other party and shall not disclose such information except as required by law or with prior written consent. Confidential Information does not include information that is or becomes publicly known other than by breach of this Agreement.

Default, Termination, and Remedies

Material breach by the Fellow, including misuse of funds or failure to provide reports, shall constitute default. Upon default, the Funder may suspend payments, demand immediate repayment of unexpended funds, and pursue any other remedies available at law or in equity. Repayment obligations shall survive termination.

Indemnification

The Fellow shall indemnify, defend, and hold harmless the Funder and its affiliates against any claims, liabilities, losses or expenses relating to the Fellow’s performance, willful misconduct, gross negligence, or breach of this Agreement.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to conflict of law principles. The parties shall first attempt to resolve disputes through good faith negotiation prior to initiating litigation.

Notices

All notices required under this Agreement shall be in writing and delivered to the addresses below by certified mail or other verifiable means.

Amendment and Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes prior discussions. Any amendment must be in writing and signed by authorized representatives of both parties.
