FINANCIAL FHA AMENDMENT

This Financial FHA Amendment (the Amendment) amends the original loan documents identified below. The parties agree that, as of the Effective Date set forth below, the terms of the Loan Documents are modified only as expressly provided in this Amendment. All other terms, covenants, and conditions of the Loan Documents remain in full force and effect.

WHEREAS, Lender and Borrower executed certain loan documents, including but not limited to a promissory note and security instrument, dated (the Loan Documents); and

WHEREAS, the parties desire to amend the Loan Documents to reflect certain changes to the financial terms and administrative provisions, conditioned upon FHA underwriting and insurance requirements where applicable.

Amendments

1. Amendment to Principal Balance. The principal balance of the loan is amended to: dollars. This amended principal replaces any prior stated principal balance for purposes of payment computation and payoff.

2. Interest Rate. Effective as of the Effective Date, the interest rate applicable to the principal balance is amended to: per annum, computed according to the original Loan Documents except as expressly modified herein.

3. Maturity Date. The scheduled maturity date is amended to: . Any extension of the maturity date constitutes a modification of the Loan Documents and is subject to FHA acceptance where required.

4. Payment Schedule. Borrower shall make payments in accordance with the Revised Payment Schedule set forth below. Any payment not received within days of the due date shall be subject to late charges as set forth in paragraph 6.

5. Escrow Accounts. Escrow for taxes, insurance, and other items shall be maintained as required by the Loan Documents. The escrow payment portion of the monthly payment is adjusted to reflect actual escrow analyses. Lender shall provide Borrower with an updated escrow statement within 30 days of any adjustment.

6. Late Charge and Default. If any payment required under this Amendment is not paid within days after its due date, Borrower shall pay a late charge equal to the lesser of of the overdue amount or the maximum permitted by law. Any Event of Default under the Loan Documents continues to be governed by the acceleration and foreclosure provisions of the Loan Documents, subject to FHA requirements.

Prepayment; Insurance

7. Prepayment. Borrower may prepay the loan in whole or in part at any time without penalty unless otherwise prohibited by the Loan Documents or FHA policy. Any prepayment shall be applied in the order and manner specified in the Loan Documents.

8. FHA Insurance and Requirements. The parties acknowledge that the loan is insured under FHA program requirements. All amendments made herein are subject to FHA eligibility and insurance conditions. Lender shall take such actions and submit such documentation as required to preserve FHA insurance coverage.

Representations, Indemnity & Governing Law

9. Representations. Each party represents and warrants that it has full power and authority to enter into this Amendment, that execution and delivery of this Amendment has been duly authorized, and that this Amendment constitutes a valid and binding obligation enforceable in accordance with its terms.

10. Indemnification. Borrower shall indemnify and hold Lender harmless from and against any liabilities, claims, or losses arising from Borrower’s failure to perform under the amended terms, except to the extent caused by Lender’s gross negligence or willful misconduct.

11. Governing Law. This Amendment shall be governed by and construed in accordance with the laws of the state where the Property is located, except where federal law controls FHA-insured loan matters.

12. Notices. All notices required or permitted under this Amendment shall be in writing and delivered to the addresses set forth below, and shall be deemed delivered when: (a) received by hand delivery; (b) three business days after deposit with the U.S. mail, postage prepaid, certified mail, return receipt requested; or (c) when delivered by an overnight courier service that provides a receipt of delivery.

General Provisions

13. Entire Agreement. This Amendment, together with the Loan Documents, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes any prior written or oral agreements relating to the amendments described herein.

14. Counterparts. This Amendment may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be effective for all purposes.
