FINANCIAL FILING ENGAGEMENT AGREEMENT

This Financial Filing Engagement Agreement (Agreement) is made effective this day of , by and between the Firm and the Client identified above.

Scope of Services

The Firm will provide the following services to the Client as requested and agreed below. Services not checked are outside the scope of this Agreement unless subsequently added in writing and executed by both parties.

The Firm will use commercially reasonable efforts to meet the following deadlines. Target due dates are based on timely receipt of all required information from the Client.

The Client agrees to pay the Firm for services performed in accordance with the fee schedule below. All fees are exclusive of applicable taxes. The Firm will issue invoices in accordance with the billing schedule selected below.

Client Responsibilities; Representations

The Client will timely provide complete and accurate books, records, source documentation and representations necessary for the Firm to perform the services. The Client represents that it will furnish all required information and approvals by the deadlines indicated; otherwise the Firm may adjust delivery dates and fees accordingly.

Limitation of Liability; Indemnity

The Firm's liability for any claim arising from or related to the services shall be limited to direct damages not exceeding the total fees paid by the Client to the Firm under this Agreement for the specific services from which the claim arises. In no event shall the Firm be liable for consequential, incidental, special or exemplary damages. The Client shall indemnify and hold harmless the Firm from third-party claims resulting from the Client's negligence, omissions, or misrepresentations.

Confidentiality and Records Retention

The Firm will maintain confidentiality of Client information except as permitted by law or as necessary to perform the services. The Firm may retain engagement files for its records. Unless otherwise agreed, the Firm will retain records for the greater of applicable legal retention periods or months.

Termination

Either party may terminate this Agreement upon written notice. Upon termination the Client shall pay for all services rendered and reimbursable expenses incurred through the termination date. Unless otherwise agreed, the Firm may retain copies of work in progress.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to its conflict of law rules. Any dispute arising out of or relating to this Agreement shall be resolved first by good faith negotiation; if unresolved, the dispute shall be submitted to binding arbitration in accordance with the rules agreed by the parties.

Electronic Delivery and Consent

The Client consents to receive documents and notices electronically and agrees that electronic signatures shall have the same force and effect as original signatures for all purposes in this engagement.

Acknowledgement and Acceptance

By signing below, the parties acknowledge that they have read, understood and agree to the terms and conditions set forth in this Agreement, and authorize the Firm to proceed with the services described herein.
