By executing below, Borrower certifies, warrants and represents to Lender that: (a) all work described and billed in this Final Draw Request has been performed in accordance with the plans, specifications and approved change orders; (b) all taxes, labor and material obligations arising from the work have been paid or will be paid from the proceeds requested; (c) there are no outstanding liens, claims or disputes affecting the property other than those disclosed in writing to Lender; (d) all previous draws were applied to the purposes represented to Lender; and (e) all information and attachments provided with this request are true, complete and accurate.

Borrower further agrees that disbursement of funds under this Final Draw Request is subject to Lender's final inspection and approval, receipt of final lien waivers and any remaining security conditions. Lender may condition, delay or refuse disbursement if Lender, in its sole reasonable judgment, determines that any condition precedent has not been satisfied. Borrower shall indemnify and hold Lender harmless from any loss, liability or expense resulting from any misrepresentation or breach of the foregoing certifications.

Governing Law: This Final Draw Request, including the certifications and covenants set forth herein, shall be governed by and construed in accordance with the laws of the jurisdiction governing the loan documents. Any dispute arising out of this request shall be resolved pursuant to the dispute resolution procedures set forth in the loan agreement.
