Borrower covenants to maintain its business and financial condition in the ordinary course and not to grant liens on collateral except as disclosed to Lender in writing.

Events of Default and Remedies

An Event of Default includes: (a) failure to pay any scheduled payment within the applicable grace period; (b) breach of a material representation or covenant; (c) insolvency, bankruptcy or assignment for the benefit of creditors. Upon an Event of Default, Lender may declare the entire outstanding principal and accrued interest immediately due and payable and exercise all rights and remedies available at law or in equity.
