FINANCIAL FSMC ADDENDUM

RECITALS

WHEREAS, Client and FSMC are parties to a Food Service Management Agreement identified above; and WHEREAS, the parties desire to establish financial terms, billing protocols, audit rights, and related fiscal procedures applicable to the provision of food service under the Agreement; NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree to the following financial provisions which shall supersede and control over any inconsistent provisions of the Agreement.

INVOICING & PAYMENT PROCEDURES

FSMC shall submit itemized invoices no more frequently than and no less frequently than . Invoices must reference the Agreement number and include supporting meal counts and backup documentation. Payment is due within of receipt unless otherwise agreed in writing. Late payments shall accrue interest at on past-due balances.

REIMBURSABLE EXPENSES

Reimbursable expenses shall be pre-approved in writing and billed monthly with receipts. Reimbursables include direct food costs, approved equipment rentals, and authorized program expenses. Unapproved expenses will not be reimbursed.

AUDIT RIGHTS, RECORDS AND RECONCILIATION

Client retains the right to inspect and audit FSMC supporting records related to fees, meal counts, and reimbursable expenses for a period of following the date of each invoice. FSMC shall maintain accurate books and records and shall provide access to records upon reasonable notice. Any overpayment discovered by reconciliation or audit shall be refunded or credited to Client within of written notice.

ADJUSTMENTS, PRICE ESCALATION & COST SAVINGS

Unless otherwise required by law, FSMC is responsible for all employment taxes and benefits for its employees. Client shall withhold taxes only as required by applicable law. Specify any special tax treatment or exemptions here:
