Representations, Warranties & Covenants

Borrower represents and warrants that all information provided to Lender is true and complete, that Borrower has authority to enter this Agreement, and that no other agreements conflict with the rights granted to Lender. Borrower covenants to deliver financial reports and other information upon reasonable request.

Events of Default and Remedies

Events of Default include failure to pay principal or interest when due, breach of any representation, insolvency, cross-default to other material obligations, and fraudulent statements. Upon Event of Default, Lender may declare all amounts immediately due and payable, exercise rights under security instruments, set off amounts, and pursue any remedy available at law or equity.

Payment Instructions & Late Policy

Payments shall be made to the account specified by Lender. Accepted methods: wire transfer, ACH, corporate check. Borrower shall be responsible for any bank fees. Late payments will incur the Late Fee set forth above and interest at the Default Interest Rate until paid in full.

Indemnification & Miscellaneous

Borrower shall indemnify and hold harmless Lender from any losses, claims, liabilities, or expenses (including reasonable attorneys' fees) arising from Borrower's breach of this Agreement or from Borrower's misuse of funds. This Agreement constitutes the entire agreement between the parties and may be amended only in writing signed by both parties. If any provision is held unenforceable, the remainder shall remain in effect.

Notices

Notices under this Agreement shall be delivered to the addresses set forth below by certified mail, overnight courier, or email with confirmation.

Acknowledgement & Certification

Each party certifies that it has full power and authority to enter this Agreement and that the person signing below is authorized to bind the party. This Agreement is governed by the laws agreed by the parties and, absent agreement, by the jurisdiction of the Lender's principal place of business.
