Late Payment: Payments not received by the due date shall incur a late fee equal to of the overdue balance per month, calculated monthly and compounded. Organizer reserves the right to suspend entry pending payment.

Eligibility: Entrant represents and warrants that Entrant satisfies all eligibility criteria published by Organizer for the specified competition category, is not subject to any trading or regulatory prohibitions that would prevent participation, and has not been suspended or disqualified from prior competitions for cause.

Trading Rules: Entrant agrees to comply with the trading rules, order types, and market access constraints established for the competition. The Organizer may prescribe permitted instruments, leverage caps, and risk controls. Any manipulation, collusion, spoofing, wash trading, or other conduct the Organizer reasonably determines to be abusive will be grounds for immediate disqualification.

Recordkeeping & Audit: Entrant authorizes Organizer to monitor, record, and audit trading activity and account activity for compliance. Entrant will provide account statements, trade confirmations, and other documentation upon request to verify compliance.

Prizes, Taxes, and Disbursements

Prize Awards: Prizes will be awarded in accordance with the published prize schedule. Organizer's calculation of rankings and awards is final subject to the dispute resolution provisions below. Organizer may withhold award pending verification and completion of required tax documentation.

Taxes: Entrant is solely responsible for all federal, state, and local taxes and reporting obligations arising from any prize or award. Organizer may issue tax reporting forms to Entrant and to relevant authorities as required by applicable law.

Intellectual Property and Media Rights

Broadcast and Use: Entrant grants Organizer a perpetual, worldwide, royalty-free license to record, reproduce, distribute, display, and broadcast competition activity, interviews, and related materials for promotion, archival, and commercial purposes. Entrant waives any moral rights to the extent permitted by law.

Liability, Indemnity, and Insurance

Indemnification: Entrant agrees to indemnify, defend and hold harmless Organizer, its affiliates, and their respective officers, directors, employees and agents from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of Entrant's breach of this Agreement, violations of applicable law, or any negligent or willful acts by Entrant in connection with participation.

Limitation of Liability: To the maximum extent permitted by law, Organizer's aggregate liability for any claim arising from or relating to this Agreement shall not exceed the Total amount of fees actually paid by Entrant to Organizer for this competition entry.

Confidentiality and Data Use

Confidential Information: Entrant acknowledges that Organizer may disclose non-public information in connection with competition operations. Entrant agrees to maintain confidentiality of Organizer's proprietary materials and not to disclose such information except as required by law.

Disqualification, Termination, and Remedies

Disqualification: Organizer may disqualify Entrant for any breach of rules, manipulation, fraud, or conduct that undermines the integrity of the competition. Disqualification may result in forfeiture of prizes and fees, at Organizer's discretion.

Remedies: All remedies are cumulative. Organizer may suspend, disqualify, terminate, or seek injunctive relief as necessary to protect competition integrity and enforce this Agreement.

Governing Law and Dispute Resolution

Governing Law: This Agreement will be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of law principles.

Dispute Resolution: Parties agree to submit disputes first to good faith negotiation; if unresolved within 60 days, disputes shall be resolved by binding arbitration in the governing jurisdiction, with an arbitrator experienced in commercial and financial regulations. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
